About the role:
As Commercial Counsel, you will provide legal guidance and support to the company on a broad range of contract-related matters, managing legal and business risks and accelerating company growth. You will report to the General Counsel and be an essential member of a small and growing legal team.
You will:
- Draft, review, and negotiate commercial contracts, including revenue-generating agreements with health plans (including Medicaid managed care plans), health systems, community-based organizations, vendors, partners, BAAs, and confidentiality agreements.
- Structure complex deals encompassing multiple components and agreements.
- Increase the velocity of the sales contracting process while protecting the company.
- Serve as a business-minded thought partner to sales, client development, marketing, operations, and other teams.
- Build processes, create and improve templates, and drive adoption of tools and technology (including A.I.) to increase contracting efficiency and quality.
- Review and update contract templates and user terms as legal and product needs evolve.
- Provide legal counsel on contractual obligations, risk mitigation, and dispute resolution related to commercial transactions.
- Ensure compliance with applicable laws and company policies in contractual engagements.
- Collaborate with finance, security, and operations to support vendor contract review and management.
- Develop and implement contract templates, playbooks, and best practices to streamline contracting.
- Manage relevant processes and tools (e.g., vendor approval via Jira, contract management tool, and advise on Salesforce implementation).
- Support corporate transactions as needed.
- Train and educate internal stakeholders on contract-related legal risks and best practices.
- Flex into other legal areas as needed (intellectual property, privacy, employment) and grow into a generalist role.
You are:

- Located anywhere in the U.S., with preference for the NYC area to meet with the GC more regularly.
You have:
- A Juris Doctor (J.D.) degree from a top-tier law school.
- Admission to the state bar in which you reside.
- 4-6+ years of legal experience, including significant transactional experience at a top-tier law firm (senior title possible for more experienced candidates).
- Healthcare experience preferred but not required.
- Stellar contract drafting skills.
Compensation & location:
Base salary range: $190,000 to $220,000 per year, plus bonus and benefits. The posted range reflects targets for San Francisco headquarters; individual pay is based on work location, skills, experience, and education.
Location: Remote (U.S.).
