About the role
As the first internal General Counsel, you will architect CertifyOS’s global legal infrastructure during a hyper-growth phase. Reporting to the SVP of Finance, you will transition legal operations from an outsourced model to a high-performing internal function and build the legal systems necessary to scale the company.
This role is hands-on and requires working full US business hours to support our US-headquartered revenue team and enable high-velocity execution for customers and stakeholders.
What you9ll do
Lead cross-functional legal workstreams across commercial contracting, compliance, data governance, and risk mitigation.
- Build and Lead the Internal Legal EngineInsourcing & Strategy: Lead the migration of legal data, contract repositories, and ongoing matters from external vendors to internal systems.Automation First: Implement automation-first tools and Contract Lifecycle Management (CLM) systems to drive scale and reduce manual review times.Outside Counsel Management: Manage local and international legal vendors as the primary point of contact to ensure cost-effective specialized advice.Cross-Functional Partnering: Work closely with commercial, compliance, and employment teams on arising legal matters.
- US Commercial Law & Revenue EnablementHigh-Velocity Contracting: Draft and negotiate MSAs, SOWs, and Data Use Agreements tailored to US HealthTech and SaaS standards.Sales Partnership: Partner with Growth to navigate enterprise procurement and ensure legal enables revenue rather than blocking it.Regulatory Alignment: Ensure commercial agreements protect intellectual property and align with the company9s role as the source of truth for provider data.
- Global Compliance & Data GovernanceDual-Jurisdiction Mastery: Design internal controls and SOPs that satisfy both US healthcare regulations and Indian corporate compliance.Privacy Infrastructure: Lead data privacy and security legal standards for the platform9s Provider 360 capabilities.Risk Mitigation: Implement frameworks to prevent data leakage and ensure audit readiness for future funding or exit events.
What you9ll need
- The Credentials: Law degree (LLB/LLM) with 8612 years of progressive legal experience in high-growth technology environments.
- The Build Mindset: Proven experience transitioning a company from an outsourced legal model to a high-performing internal team.
- US Commercial Expertise: Expert knowledge of US commercial law, including SaaS revenue models and usage-based contracts.
- Global Coordination: Direct experience working for an Indian subsidiary of a US-headquartered company with strong grasp of both Indian and US legal frameworks.
- US Shift Alignment: Ability and willingness to work full overlap with US business hours.
Preferred experience
- HealthTech Vertical: Understanding of legal hurdles in healthcare data and US regulatory requirements.
- Firm Background: Early career experience at a top-tier law firm is desirable.
- Startup Scaling: Track record in high-growth startups (Series B to C) supporting rapid ARR milestones.
- Systems Mastery: Advanced experience with legal-tech automation, AI-native tools, and cloud systems.
